1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Off Market Network, LLC d/b/a LavaZoo (“LavaZoo,” “we,” “us,” or “our”) governing your access to and use of the website located at www.lavazoo.com and any related services, features, or applications (collectively, the “Platform”).

By accessing or using the Platform, creating an account, posting a listing, submitting an inquiry, or otherwise engaging with any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and these Terms will apply to that entity.

2. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Real estate agents and brokers using the Platform to post listings must hold a valid real estate license in the state of New York or any other jurisdiction in which they advertise properties. LavaZoo reserves the right to verify licensing credentials and remove listings posted by unlicensed individuals.

3. Account Registration

3.1 Creating an Account

Certain features of the Platform require you to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Security

You agree to notify LavaZoo immediately if you become aware of any unauthorized use of your account or any other security breach at info@lavazoo.com. LavaZoo will not be liable for any loss resulting from unauthorized use of your account.

3.3 Account Termination

LavaZoo reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time by contacting us.

4. Use of the Platform

4.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Searching for residential, commercial, and off-market real estate listings in New York
  • Posting real estate listings as a licensed agent or landlord
  • Submitting inquiries on listings
  • Posting Property Wanted listings as a buyer or tenant
  • Accessing the Property Wanted portal as a subscribing agent or landlord member

4.2 Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent listings or information
  • Post listings for properties you do not have the legal right to market
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Post listings containing discriminatory language or conditions that violate the Fair Housing Act, the New York Human Rights Law, or any other applicable anti-discrimination law
  • Use the Platform to collect personal information about other users without their consent
  • Use the Platform to send unsolicited commercial communications
  • Use automated tools, bots, scrapers, or other means to access or collect data from the Platform without LavaZoo’s written permission
  • Attempt to gain unauthorized access to any part of the Platform or its systems
  • Interfere with or disrupt the integrity or performance of the Platform
  • Post content that is defamatory, obscene, harassing, threatening, or otherwise objectionable
  • Violate any applicable federal, state, or local law or regulation

4.3 Fair Housing Compliance

All listings on the Platform must comply with the Fair Housing Act (42 U.S.C. § 3601 et seq.), the New York Human Rights Law, the New York City Human Rights Law, and all other applicable fair housing and anti-discrimination laws. LavaZoo prohibits listings that discriminate on the basis of race, color, national origin, religion, sex, familial status, disability, sexual orientation, gender identity, or any other protected characteristic.

LavaZoo reserves the right to remove any listing that violates fair housing laws and to report violations to appropriate authorities.

5. Listings

5.1 Accuracy of Listings

You are solely responsible for the accuracy, completeness, and legality of all listing information you post on the Platform. You represent and warrant that:

  • All information in your listing is accurate and not misleading
  • You have the legal right to market the property described in your listing
  • Your listing complies with all applicable laws and regulations, including fair housing laws
  • Any photographs or other content included in your listing do not infringe the intellectual property rights of any third party

5.2 Off-Market and Confidential Listings

LavaZoo permits agents and landlords to post listings without providing exact property addresses for off-market and confidential listings. By posting a confidential listing, you acknowledge that you are responsible for determining whether confidential listing is permitted under applicable law, including New York’s Fair and Transparent Real Estate Listings Act if enacted, and for ensuring your listing complies with all applicable requirements.

LavaZoo does not provide legal advice regarding the permissibility of off-market or confidential listings under applicable law. Consult a licensed New York real estate attorney for guidance.

5.3 MLS Listings

LavaZoo receives residential listing data from NY State MLS through a data partnership agreement. If your listing appears on LavaZoo through the MLS feed, you may claim your listing profile to ensure inquiries are routed to you directly. By claiming your listing, you confirm your identity as the listing agent and accept responsibility for responding to inquiries.

5.4 Listing Removal

LavaZoo reserves the right to remove any listing at any time that violates these Terms, applicable law, or that we determine in our sole discretion is inappropriate for the Platform. We will make reasonable efforts to notify you of listing removals.

5.5 No Endorsement

LavaZoo does not endorse, verify, or guarantee any listing, property, agent, landlord, buyer, or tenant on the Platform. We are not a party to any transaction between users and are not responsible for the accuracy of any listing or the conduct of any user.

6. Lead Inquiries and Communications

6.1 Direct Lead Delivery

LavaZoo delivers buyer and tenant inquiries (“leads”) directly and exclusively to the listing agent or landlord for the specific property. LavaZoo does not sell, share, or reroute leads to any agent other than the listing agent for the property on which the inquiry was submitted.

6.2 No Guarantee of Lead Quality

LavaZoo makes no representations or warranties regarding the quality, intent, or qualification of any lead delivered through the Platform. LavaZoo is not responsible for the accuracy of information provided by buyers or tenants in their inquiries.

6.3 User Responsibility for Communications

All communications between agents, landlords, buyers, and tenants through or facilitated by the Platform are solely between those parties. LavaZoo is not responsible for the content or outcome of any such communications.

6.4 Property Wanted Feature

The Property Wanted feature allows buyers and tenants to post their real estate requirements and allows subscribing agent and landlord members to access those requirements. By posting a Property Wanted listing, you consent to LavaZoo members contacting you regarding properties that may match your stated requirements. LavaZoo does not guarantee that any agent or landlord will respond to your Property Wanted listing.

7. Subscriptions and Payment

7.1 Subscription Plans

LavaZoo offers paid subscription plans for agents and landlords as described on the Platform. Subscription details, pricing, and features are subject to change with notice to subscribers.

7.2 Free Trial

LavaZoo may offer a free trial period for new subscribers. At the end of the free trial period, your subscription will convert to a paid plan unless you cancel before the trial period ends. LavaZoo will provide notice before any trial period expires.

7.3 Billing and Payment

Paid subscriptions are billed on a monthly or annual basis as selected at the time of subscription. Payment is processed through our third-party payment processor. By providing payment information, you authorize LavaZoo to charge the applicable subscription fee to your payment method.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. LavaZoo does not provide refunds for partial billing periods except as required by applicable law.

7.5 Price Changes

LavaZoo reserves the right to change subscription pricing with at least thirty (30) days advance notice to current subscribers. Your continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

8. Intellectual Property

8.1 LavaZoo’s Intellectual Property

The Platform and all content, features, and functionality provided by LavaZoo — including but not limited to the LavaZoo name, logo, design, text, graphics, and software — are owned by Off Market Network, LLC d/b/a LavaZoo and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any LavaZoo content without our prior written permission.

8.2 User Content

You retain ownership of the content you post on the Platform, including listing descriptions, photographs, and other materials (“User Content”). By posting User Content on the Platform, you grant LavaZoo a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your User Content for the purpose of operating and promoting the Platform.

You represent and warrant that you own or have the right to use all User Content you post, and that your User Content does not infringe the intellectual property rights of any third party.

8.3 MLS Data

Listing data received from NY State MLS remains the property of NY State MLS and its member participants. LavaZoo’s right to use MLS data is governed by our data partnership agreement with NY State MLS.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LAVAZOO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LAVAZOO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT THE PLATFORM OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS.

LAVAZOO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING, USER CONTENT, OR OTHER INFORMATION ON THE PLATFORM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAVAZOO, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF LAVAZOO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LAVAZOO’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LAVAZOO IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, LAVAZOO’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Off Market Network, LLC d/b/a LavaZoo and its members, managers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses — including reasonable attorneys’ fees — arising out of or relating to:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any User Content you post on the Platform
  • Your violation of the rights of any third party, including intellectual property rights
  • Any transaction between you and another user facilitated by or arising from use of the Platform

12. Third-Party Links and Services

The Platform may contain links to third-party websites or services that are not owned or controlled by LavaZoo. LavaZoo has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party websites you visit.

13. Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the federal or state courts located in New York County, New York. You consent to the personal jurisdiction of such courts.

13.3 Informal Resolution

Before filing any legal claim against LavaZoo, you agree to contact us at the information provided in Section 15 and attempt to resolve the dispute informally. LavaZoo will make reasonable efforts to resolve disputes informally within thirty (30) days of receiving written notice of your claim.

14. General Provisions

14.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and LavaZoo regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

14.3 Waiver

LavaZoo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without LavaZoo’s prior written consent. LavaZoo may assign these Terms at any time without restriction.

14.5 Changes to Terms

LavaZoo reserves the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of these Terms and notify you by email or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

14.6 Force Majeure

LavaZoo shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, or failures of third-party service providers.
